1. Agreement to Terms

These Terms of Service constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you") and Oceania Single Step Investments Limited ("Company", "we", "us", or "our"), concerning your access to and use of the oceaniainvestments.co.ke website as well as any other media form, media channel, mobile website, or mobile application related, linked, or otherwise connected thereto.

You agree that by accessing the site and our corporate services, you have read, understood, and agreed to be bound by all of these Terms of Service. If you do not agree with all of these terms, then you are expressly prohibited from using the site and must discontinue use immediately.

2. Intellectual Property Rights

Unless otherwise indicated, the Site, its proprietary E-Learning portal, training materials, investment prospectuses, and consultancy frameworks are our proprietary property. All source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics on the Site (collectively, the "Content") and the trademarks, service marks, and logos contained therein are owned or controlled by us or licensed to us.

The Content is provided on the Site "AS IS" for your information and personal or internal corporate use only. Except as expressly provided in these Terms, no part of the Site and no Content may be copied, reproduced, aggregated, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted, distributed, sold, licensed, or otherwise exploited for any commercial purpose whatsoever, without our express prior written permission.

3. Service-Specific Terms

• 3.1 Business Consultancy

  All consultancy advice, including strategic, legal, or financial frameworks, is provided based on the information supplied by the client. We cannot be held liable for business outcomes stemming from omitted, false, or misleading data provided during the auditing or discovery phases.

• 3.2 Staff Training & Capacity Building

  Registration for corporate training requires a 50% non-refundable deposit to secure scheduling. Training materials provided are for internal organizational use only and may not be resold or distributed to third parties.

• 3.3 Investment Advisory

  All investments carry inherent risks, including the potential loss of principal. Past performance of real estate, agribusiness, or SME equity portfolios is not indicative of future results. Investors must review all official prospectuses and consult independent legal and tax advisors before committing capital.

4. Limitation of Liability

In no event will we or our directors, employees, or agents be liable to you or any third party for any direct, indirect, consequential, exemplary, incidental, special, or punitive damages, including lost profit, lost revenue, loss of data, or other damages arising from your use of the site or our corporate services, even if we have been advised of the possibility of such damages.

5. Governing Law and Dispute Resolution

These Terms shall be governed by and defined following the laws of the Republic of Kenya. Oceania Single Step Investments Limited and yourself irrevocably consent that the courts of Kenya shall have exclusive jurisdiction to resolve any dispute which may arise in connection with these terms.

Any dispute arising out of or in connection with this contract, including any question regarding its existence, validity, or termination, shall first be subjected to mediation in Nairobi, Kenya, in accordance with the Nairobi Centre for International Arbitration (NCIA) rules.
